Terms of Service
These Terms and Conditions (“Agreement”) govern all services provided by Ronin Creative, LLC (“RC”) to the Client. By approving a proposal, submitting payment, or engaging RC’s services, the Client agrees to these terms.
Commencement of Work
Work begins after RC receives written approval (email confirmation is acceptable) and any required deposit. Submission of materials or payment constitutes acceptance of this Agreement.
Payment Terms
A 50% deposit is required for projects estimated to exceed 20 hours or $1,000 in value.
• The remaining balance is due prior to delivery of final files or production release.
• Deposits are non-refundable once work has commenced.
• For multi-phase or multi-month projects, progress payments may be invoiced monthly.
• Late payments accrue interest at 1.5% per month (18% annually) or the maximum allowed by law.
• RC reserves the right to suspend work until overdue balances are paid.
Overtime and Rush Orders
Expedited timelines may incur additional fees, including overtime labor or supplier surcharges. Rush fees will be communicated in writing before proceeding.
Project Holds and Cancellations
If a project is placed on hold for more than 30 days without communication, RC may issue a final invoice for work completed to date.
If cancelled by the Client after work begins:
• The deposit remains non-refundable.
• Additional completed time will be invoiced at the agreed hourly rate.
Ownership and Intellectual Property
RC retains ownership of all preliminary concepts, drafts, working files, processes, systems, and proprietary methods unless otherwise agreed in writing.
Upon full payment, the Client receives ownership rights to the final approved deliverables only.
Unused concepts, drafts, and production assets remain the property of RC.
RC retains the right to display completed work in portfolios, marketing materials, and social media unless otherwise agreed in writing.
Digital Files & 3D Printed Products License
Unless otherwise specified in writing, digital files and 3D print designs are provided for the client’s approved project use only.
Commercial reproduction, resale, redistribution, or modification for independent resale is not permitted without written authorization from RC.
Client Responsibilities
The Client is responsible for reviewing and approving all deliverables prior to production.
RC is not liable for:
• Errors identified after written approval
• Variations in color, material, or print output
• Third-party manufacturing inconsistencies
The Client warrants that all materials provided do not infringe upon third-party rights and agrees to indemnify RC against any related claims.
Revisions and Additional Work
Work outside the approved scope will be billed at the agreed hourly rate. Written approval is required before additional work begins.
Limitation of Liability
RC’s total liability shall not exceed the total fees paid for the project.
RC shall not be liable for indirect, incidental, consequential, or economic damages, including lost profits or business interruption.
Confidentiality
RC and its contractors agree to maintain confidentiality of all client materials except where disclosure is required by law.
Contractors
All contractors engaged by RC are bound by confidentiality and non-solicitation agreements for a minimum of 36 months.
Data & Privacy
Client information is stored securely and used solely for communication, billing, and project execution. RC does not sell or distribute client data.
Force Majeure
RC shall not be liable for delays or failure to perform due to circumstances beyond reasonable control, including natural disasters, labor disputes, supply chain disruptions, or power outages.
Termination
Either party may terminate this Agreement with written notice. The Client remains responsible for payment of all work completed through the termination date.
If RC terminates the project, any unused portion of the deposit will be refunded.
Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Ohio.
Amendments
These terms may be updated periodically. The most current version will be available upon request or posted on the RC website.
